材料-KY拟斥百亿元收购同业瑞商Cerdia 明年跻身10亿美元企业

材料-KY(4763-TW)展现跨区域、多元化发展的强大企图心，材料-KY将以增发9.95%股权及2.14亿美元现金，收购同业Cerdia Holding (Cerdia) 100%股权，收购总金额约为3.68亿美元，约117亿元新台币。材料-KY董事长王克璋今(30)日指出，收购完成后，预估2027年材料-KY将跻身年营收逾10亿美元企业

材料-KY对此一收购同业Cerdia Holding (Cerdia) 100%股权，材料-KY预估在2026年年底前完成，2027年完成并表，且将进一步朝「跨洲布局、在地供应、全球协同」发展。

至于2026年下半年的材料-KY营运走势，董事长王克璋在法说会前接受采访时表示，对于第三季营收超越第二季，第四季营收超越第三季的先前营运走势看法，目前维持不变，同时，期待透过收购案，让市场秩序得以维持，也期待如同2023年营运的荣景。

材料-KY预计今年底前完成收购同业Cerdia Holding (Cerdia) 100%股权，王克璋指出，材料-KY着重在市场秩序恢复与建立，至于材料-KY原规划在亚洲印尼、非洲埃及甚至在中东阿联酋设立新厂则暂缓。但王克璋指出，与国际眼镜框合作成立可回收镜框新公司也正在规划中。

生产醋片及丝束的Cerdia成立于1912年，与材料-KY为同业，自2017年自母公司分割后，现由黑石集团旗下私募基金管理，2025年营收为7.31亿美元，材料-KY以总金额3.68亿美元的100%股权收购案，包括增加发行9.95%股权进行交换，并加上现金2.14亿美元，收购总金额约为3.68亿美元。

目前股本9.89亿元的材料-KY，在增加发行9.95%股权后，股本将增加为10.98亿元，而材料-KY预计在2027年年初在取得相关官方核准后，将完成收购程序。材料-KY指出，本交易完成后，集团营运据点将跨越亚洲、欧洲、北美洲及南美洲。

Cerdia拥有逾百年纤维素材料制造经验，并于德国设有研发中心。Cerdia员工约1100人，为全球前三大醋酸纤维丝束制造商之一。其产品应用于眼镜、纺织、美妆及高性能滤材等领域，并拓展至电子、医疗及环保永续材料等新兴应用。

材料-KY目前以中国生产基地供应全球市场，并透过制造效率、成本管理及垂直整合建立竞争优势。Cerdia加入后，集团供应体系将分成两套系统，Cerdia负责生产醋酸纤维丝束，材料-KY则负责生产纺织材料、眼镜框、手机壳以及车用电池等原材料，进一步朝「跨洲布局、在地供应、全球协同」发展，提升生产调度、原料配置与客户服务的弹性。面对关税、物流及地缘政治变化，跨区域营运布局也可望强化供应链韧性，缩短与客户及市场的距离，并更即时掌握各区域需求。

材料-KY在2026年8月营收10.4亿元，月减1.7%，年增20.82%，2026年1-8月营收76.53亿元，年减20.91%。材料-KY指出，司持续深化新兴市场布局，营运动能稳步回升。

材料-KY 2026年第二季营收27.43亿元，毛利率40.89%，季减14.69个百分点，年减17.34个百分点，税后纯益7.17亿元，季减35.73%，年减57.92%，每股纯益0.72元。累计上半年营收55.54亿元，毛利率48.06%，年减10.28个百分点，上半年税后纯益18.31亿元，年减5.95%，每股纯益1.85元。
